FOUNDING MEMBER AGREEMENT

1. Founding Member Rate

A limited Founding Member rate of $140.00/month for the Unlimited membership (the standard Unlimited rate is $165.00/month), available to the first 40 members and limited to the Unlimited plan. Once 40 Founding memberships are claimed, new members enroll at standard rates. Once you complete your three-month commitment (Section 2), your $140.00 Founding rate is locked for life and yours to keep — it never increases, and you may cancel and rejoin at any time at the same $140.00 rate. If you cancel before completing the three-month commitment, the Founding rate is forfeited (and the Section 4 early termination fee applies); rejoining afterward is at standard rates.

2. Three-Month Minimum Commitment

In exchange for the discounted Founding Member rate, you agree to a minimum commitment of three (3) successful monthly payments at the Founding Member rate. The commitment is measured by payments made — three (3) successful $140.00 payments — not by elapsed calendar months.

3. Billing, First Payment, and Renewal

Your first payment of $140.00 is charged today, when you complete checkout, to confirm and lock your Founding Member rate. Your next payment of $140.00 is scheduled for November 15, 2026 (the “First Renewal Date”). No additional monthly membership payment is due between your first payment today and the First Renewal Date. If our opening schedule changes, GHA may update the First Renewal Date before it occurs, and will give you advance notice before any charge on the updated date. Beginning on the First Renewal Date, your membership renews automatically and your payment method is charged $140.00 each month on the renewal date until you cancel. Your three-month minimum commitment (Section 2) is measured by three (3) successful $140.00 payments — your payment today plus your next two monthly payments — not by calendar months; approved freezes or holds (Section 5) pause this schedule and do not count toward the three payments. Keep a valid payment method on file; a failed payment puts the membership past-due while we retry, and unresolved non-payment ends it.

4. Early Termination Fee

If you cancel before completing your three-month commitment, an early termination fee (“ETF”) applies, equal to the remaining months of your commitment times the $140.00 rate:

ETF = (3 − number of monthly payments completed) × $140.00

• Cancel with 1 payment made → 2 × $140.00 = $280.00
• Cancel with 2 payments made → 1 × $140.00 = $140.00
• Cancel after your 3rd payment → $0.00 (commitment satisfied)

The ETF is charged as a one-time fee at cancellation. It does not apply once the commitment is satisfied, when you upgrade to a higher-priced membership, or when GHA waives it at its discretion (e.g. qualifying medical or relocation circumstances).

5. Freezes and Holds

An approved freeze/hold pauses your commitment for its duration and resumes on reactivation. Frozen months do not count toward the three required payments.

6. Cancellation and Reactivation

You may request cancellation at any time; cancellation ends booking access immediately. If you cancel before completing your three-month commitment (Section 2), the Section 4 ETF applies and your Founding rate is forfeited — rejoining later is at standard rates. Once the commitment is satisfied, your Founding rate is yours for life: you may cancel and rejoin at any time — next month or years later — and your $140.00 rate still applies.

7. Plan Changes

The Founding rate applies only to the Unlimited plan. Changing off Unlimited before your commitment is satisfied is treated as a downgrade and the Section 4 ETF applies. Upgrades do not incur an ETF.

8. Price Changes

Your $140.00/month Founding rate will not be increased — it is locked for life. GHA may change standard (non-founding) rates and other terms on a going-forward basis with reasonable notice.

9. Liability Waiver

Membership requires acceptance of GHA’s separate Liability Waiver & Release (assumption of risk, release of liability, medical acknowledgment, and conduct), presented and accepted separately and incorporated here by reference.

10. General Terms

This Agreement, together with the Liability Waiver & Release and GHA’s posted policies, is the entire agreement regarding your Founding membership. If any provision is unenforceable, the rest stays in effect. It is governed by the laws of the state in which the Gym operates. Future membership terms may be published as a new agreement version; your accepted version governs your membership.

11. Electronic Acceptance

By checking “I have read and agree to the Founding Member Agreement” and completing checkout, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including the three-month minimum commitment and the early termination fee. GHA records the agreement version, the date and time of acceptance, and the IP address and device from which it was accepted as evidence of your agreement.
